Welcome to EzyLive.

These Terms of Service (“Terms”) govern your access to and use of the EzyLive website, applications, APIs, integrations, and live streaming services (collectively, the “Service” or “Services”), operated by EzyLive (“EzyLive,” “we,” “us,” or “our”).

EzyLive provides web-based live streaming studio technology and related services that enable users to create, broadcast, distribute, manage, and stream audio-visual content to third-party platforms including, but not limited to, YouTube, Facebook, LinkedIn, Twitch, and similar services.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

1. User Categories

Individuals and entities using the Services fall into the following categories:

“Host” – An individual or entity who creates, schedules, manages, or broadcasts live or pre-recorded streams using EzyLive.

“Team Member” – Any individual authorized by a Host to access or manage the Host’s account or streams.

“Guest” – An individual invited by a Host to participate in a live stream.

“Viewer” – An individual who watches or attends a stream produced through EzyLive.

“Website Visitor” – An individual browsing our website without creating an account.

These Terms apply to all users unless otherwise specified.

2. Description of the Service

EzyLive is a browser-based live streaming platform that enables users to:

• Broadcast live video and audio content
• Record live sessions
• Stream to third-party platforms (e.g., YouTube, Facebook, LinkedIn, Twitch, etc.)
• Invite guests
• Display media, graphics, and overlays
• Store and download recordings
• Access analytics and monetization tools (if applicable)

EzyLive does not host third-party streaming destinations and is not responsible for their availability, moderation policies, or actions.

We may update, modify, suspend, or discontinue any feature at any time without liability.

3. Role of EzyLive vs. Hosts

3.1 EzyLive’s Role

EzyLive provides technology infrastructure only. We:

• Provide browser-based studio tools
• Facilitate distribution to third-party platforms
• Store and process stream-related data

We do not organize, control, or manage individual streams.

3.2 Host Responsibilities

Hosts are solely responsible for:

• The content of their streams
• Guest invitations and management
• Compliance with laws and platform rules
• Marketing or promotion of streams
• Moderating participants
• Obtaining required permissions and consents
• Activities carried out during any stream
• Handling disputes with Guests or Viewers

EzyLive is not responsible for Host-generated content or conduct.

4. Eligibility

THE SERVICES ARE NOT AVAILABLE TO INDIVIDUALS UNDER 16 YEARS OF AGE.

If you are under the age of majority in your jurisdiction, a parent or legal guardian must review and agree to these Terms and supervise your use.

By using the Service, you represent and warrant that:

• You have full legal capacity to enter into this agreement.
• If using the Service on behalf of an organization, you have authority to bind that entity.
• Your use of the Service will comply with all applicable laws and regulations.

5. Accounts

You may be required to create an account to access core features.

You agree to:

• Provide accurate and complete information.
• Maintain the security of your credentials.
• Notify us immediately of unauthorized access.
• Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.

6. Subscription & Payments

6.1 Subscription Model

EzyLive operates on a paid subscription model. Access to certain features requires an active subscription. We reserve the right to include new and/or exclude pricing models based on different promotions or marketing strategy.

6.2 Billing

• Fees are billed in advance (monthly or annually).
• Subscriptions renew automatically unless canceled.
• You authorize recurring charges to your payment method.

6.3 Refunds

Unless required by law:

• Subscription fees are non-refundable.
• We do not provide refunds for partial billing periods.
• We may issue refunds at our sole discretion.

Failure to pay may result in suspension or termination.

7. Right to Use EzyLive

Subject to compliance with these Terms, we grant you a limited, non-exclusive, revocable license to access and use the Services for lawful purposes.

You may not:

• Attempt to reverse engineer, duplicate, reproduce, or otherwise copy any part of the Services without prior authorization.
• Sell, lease, sublicense, distribute, or otherwise provide access to the Services to any third party without permission.
• Disrupt, disable, interfere with, or compromise the integrity, performance, or security of the platform or its related systems.
• Use bots, crawlers, scrapers, or other automated means to access, extract, monitor, or collect data from the Services without authorization.
• Upload, transmit, or distribute any malware, viruses, trojans, worms, or other harmful or malicious code through the Services.
• Attempt to gain unauthorized access to any account, system, network, or data associated with the Services.
• Breach any applicable law, agreement, intellectual property right, or other third-party right, or engage in any unlawful or harmful act.
• Participate in any behavior that is harassing, abusive, threatening, intimidating, exploitative, or stalking in nature.
• Misuse the Services in any harmful way, including attempting unauthorized access, introducing malicious software (such as viruses), or injecting harmful code or data into the Services or related systems.
• Pretend to be, represent, or post on behalf of another individual or organization, or falsely claim any affiliation with a person or entity.

8. Contributions & User Content

8.1 Responsibility

You are solely responsible for any content, media, chat messages, audio, video, graphics, or data (“Contributions”) you create or transmit.

You represent that:

• You own or have rights to your content
• Your content does not violate laws
• Your content does not infringe intellectual property rights

8.2 Prohibited Content

You may not create or transmit content that:

• Is illegal
• Is sexually explicit or pornographic
• Promotes violence, hate speech, or harassment
• Infringes copyrights or trademarks
• Contains malware
• Violates privacy rights

EzyLive does not review content before broadcast and does not assume liability for User Content. But, we may remove content or suspend accounts at our discretion, if found content goes against certain cultural norms and traditions that hurt the society as a whole.

8.3 License to Contributions

You grant EzyLive a worldwide, royalty-free, non-exclusive license to host, transmit, display, and distribute your Contributions solely for operating and improving the Services.

9. Third-Party Platforms & Integrations

EzyLive allows integration with third-party platforms.

You acknowledge:

• Third-party services operate independently.
• Their outages, restrictions, or bans are outside our control.
• Your use of those platforms is governed by their own terms.

EzyLive is not liable for:

• Account suspensions by third-party platforms
• API restrictions
• Monetization disruptions

10. Recordings and Storage

Recordings may be stored for limited periods depending on your subscription plan. We do not guarantee indefinite storage. You are responsible for downloading and backing up your recordings.

In case of plan expiration or account termination, we may delete stored content.

11. Intellectual Property

All intellectual property in the Services belongs to EzyLive or its licensors. You have no intellectual property rights in, or to, the Services. All rights in the Service, but is not limited, including:

• Software
• Code
• Design
• Trademarks
• Branding
• Interface elements

You may not:

• Copy branding
• Use trademarks without permission
• Create derivative works of the software

12. Service Availability

12.1

Services are provided “AS IS” and “AS AVAILABLE.”

We do not guarantee:

• Uninterrupted availability
• Error-free performance
• Compatibility with all devices

Internet-based services may experience delays or disruptions.

12.2

We may offer beta features. Beta features:

• May contain bugs
• May change or be discontinued
• Are provided “as is”
• Are excluded from uptime guarantees

12.3

EzyLive may use AI and automated systems for:

• Content moderation
• Quality optimization
• Transcription or enhancement

13. Copyright Policy (DMCA)

If you believe content infringes your copyright, submit a notice including:

• Identification of copyrighted work
• Location of infringing content
• Contact information
• Good faith statement
• Signature

We may remove allegedly infringing content and suspend repeat infringers.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

EzyLive shall not be liable for indirect, incidental, special, or consequential damages.

• We are not responsible for loss of profits, data, goodwill, or service interruptions.
• Our total aggregate liability shall not exceed the greater of the amount paid by you in the preceding 12 months

15. Indemnification

You agree to indemnify and hold harmless EzyLive from any claims arising from:

• Your use of the Services
• Your Contributions
• Your violation of law
• Your breach of these terms
• Your misuse of the Service
• Your infringement of third-party rights

16. Termination

We may suspend or terminate your account:

• For violations of these Terms
• For illegal activity
• For non-payment
• To comply with legal obligations

Upon termination:

• Access ends immediately
• Stored content may be deleted
• No refunds are provided unless required by law

17. Force Majeure

We are not liable for failure or delay due to:

• Natural disasters
• Internet outages
• Government actions
• Platform bans
• Infrastructure failures
• Events beyond our reasonable control

18. Dispute Resolution; Binding Arbitration

PLEASE READ CAREFULLY.

You and EzyLive agree that most disputes will be resolved through binding individual arbitration, not in court.

• Arbitration will be conducted under the Federal Arbitration Act.
• Arbitration will be administered by the American Arbitration Association (AAA).
• Arbitration will occur in New York, USA.
• You waive the right to participate in class actions.

19. Changes to These Terms

We may update these Terms at any time. If changes are material, we will provide notice.

Continued use after updates constitutes acceptance.

20. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, disclose, and safeguard your information.
